Terms of Service

These Terms of Service govern your use of the Dryad Collective website and any purchases made through Dryad Collective, LLC.

By visiting this site, creating an account, submitting an order, or purchasing from Dryad Collective, you agree to these Terms of Service and to any additional policies referenced here, including our Shipping Policy, Refund Policy, and Privacy Policy.

If you do not agree to these terms, please do not use this site or place an order.

1. About Dryad Collective

This website is operated by Dryad Collective, LLC.

Throughout these Terms, “Dryad Collective,” “we,” “us,” and “our” refer to Dryad Collective, LLC.

2. Use of This Website

You may use this website only for lawful purposes.

You may not:

• Use the site or our products for any illegal or unauthorized purpose
• Attempt to interfere with the operation or security of the website
• Transmit viruses, malicious code, or other harmful material
• Attempt to gain unauthorized access to accounts, systems, or data
• Use the site in a way that violates applicable law or the rights of another person or business

We may restrict or terminate access to the site or purchasing privileges when reasonably necessary to protect Dryad Collective, our customers, or the integrity of the store.

3. Products, Pricing & Availability

We make reasonable efforts to ensure that product descriptions, photographs, specifications, pricing, and availability are accurate.

However, we reserve the right to:

• Modify or discontinue products
• Change pricing
• Correct errors or omissions
• Limit quantities
• Restrict purchases
• Cancel or refuse orders when reasonably necessary

Product colors and appearance may vary slightly depending on screen settings, photography, lighting, or production variation.

Pricing, specifications, availability, and product descriptions may change for future orders without notice.

4. Orders

Submitting an order does not guarantee acceptance.

We may refuse, hold, modify, or cancel an order for reasons including:

• Product availability
• Pricing or listing errors
• Suspected fraud or unauthorized activity
• Payment issues
• Unusual or excessive quantities
• Violation of these Terms
• Shipping or fulfillment limitations

If we materially change or cancel an order after payment has been collected, we will provide an appropriate refund, credit, or alternative option.

You are responsible for providing accurate and current billing, shipping, contact, and account information.

5. Wholesale & B2B Accounts

Wholesale pricing and B2B purchasing privileges are available only to approved business customers.

By placing a wholesale order, you represent that:

• You are authorized to purchase on behalf of the business associated with the account
• Products are being purchased for legitimate business or resale purposes
• Information provided in connection with the wholesale account is accurate and current

Dryad Collective may approve, decline, suspend, or revoke wholesale purchasing privileges when reasonably necessary.

6. Wholesale Pricing & Order Requirements

Unless otherwise stated:

• Wholesale price is $2.50 per sticker
• Manufacturer’s Suggested Retail Price is $5.00 per sticker
• Minimum wholesale order value is $100 before shipping and tax
• Minimum quantity per SKU is 6 units
• Quantities must be ordered in increments of 6
• Maximum online order quantity is 60 units per SKU per order

For quantities greater than 60 units of a single design, please contact Dryad Collective directly for availability and bulk-order arrangements.

MSRP is a suggested retail price only. Retailers remain responsible for determining their own resale prices.

Dryad Collective may change wholesale prices, minimums, case packs, quantity limits, or other wholesale purchasing requirements for future orders.

7. Product Availability & Wholesale Fulfillment

Wholesale orders are subject to product availability.

If inventory shortages, pricing errors, fulfillment limitations, or other issues prevent an order from being fulfilled as submitted, we may contact the buyer to:

• Adjust quantities
• Remove unavailable items
• Offer alternatives
• Delay fulfillment with buyer approval
• Issue a refund or account credit

We will not substitute materially different merchandise without the buyer’s approval.

8. Payment

Unless specific payment terms have been approved for a company account, payment is due at checkout.

Approved retailers may be granted deferred payment terms, including Net 30, at Dryad Collective’s discretion.

Unless otherwise stated, approved Net 30 invoices are due 30 calendar days from the date the order is placed.

Dryad Collective may:

• Establish account credit limits
• Modify or revoke payment terms
• Require payment before additional orders are accepted
• Suspend purchasing privileges for overdue accounts

Any late fees, interest, collection costs, or other credit charges will apply only when separately disclosed, agreed to, and permitted by applicable law.

9. Taxes & Resale Documentation

Applicable sales tax will be collected unless the buyer provides valid resale or tax-exemption documentation and the applicable account has been approved as tax exempt.

Buyers are responsible for providing accurate and current tax documentation and for complying with applicable resale, use-tax, and reporting requirements.

10. Shipping & Delivery

Orders are subject to the Dryad Collective Shipping Policy.

Most in-stock wholesale orders are processed within the processing time stated in that policy.

Shipping and delivery dates are estimates and may be affected by carriers, weather, high-volume periods, address issues, or events outside our reasonable control.

Carrier transit time begins after the order leaves Dryad Collective.

If tracking shows a shipment as delivered but it cannot be located, please contact the carrier and Dryad Collective promptly so available delivery information or carrier claims can be reviewed.

11. Returns, Damages & Refunds

All returns, damages, shortages, fulfillment errors, and refund requests are governed by the Dryad Collective Refund Policy.

Wholesale purchases are generally final sale except for approved claims involving damaged, defective, missing, or incorrectly fulfilled merchandise.

12. Order Changes & Cancellations

Orders may be changed or canceled before fulfillment begins.

Once an order has entered picking, packing, or fulfillment, changes or cancellations may no longer be possible.

Please contact Dryad Collective as soon as possible if an order needs to be changed.

13. Intellectual Property

All content associated with Dryad Collective and the Dammit Collection, including but not limited to:

• Artwork
• Product designs
• Product names
• Logos
• Branding
• Text
• Photography
• Graphics
• Packaging
• Website content

is owned by or licensed to Dryad Collective, LLC and is protected by applicable intellectual property laws.

Except as expressly permitted below, this material may not be copied, reproduced, manufactured, modified, distributed, or commercially exploited without written permission.

Retailer Use of Brand Materials

Approved retailers purchasing authentic Dryad Collective products may use Dryad Collective-provided product photographs, descriptions, and approved brand materials solely for the purpose of marketing and reselling those products.

Retailers may not:

• Alter Dryad Collective branding in a misleading manner
• Reproduce or manufacture Dryad Collective products
• Represent themselves as Dryad Collective
• Use Dryad Collective intellectual property for unrelated products or services

14. Third-Party Services

Our store may use third-party services, including payment processors, shipping carriers, ecommerce platforms, analytics services, and other technology providers.

Your use of those services may also be subject to the applicable provider’s terms and privacy practices.

Dryad Collective is not responsible for third-party services outside our reasonable control.

15. Limitation of Liability

To the fullest extent permitted by law, Dryad Collective, LLC will not be liable for indirect, incidental, special, punitive, or consequential damages arising from:

• Use of this website
• Inability to use the website
• Use or misuse of our products
• Loss of profits, revenue, data, or business opportunity

To the fullest extent permitted by law, Dryad Collective’s total liability relating to a product or order will not exceed the amount paid to Dryad Collective for the product or order giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

16. Indemnification

You agree to indemnify and hold harmless Dryad Collective, LLC from claims, losses, liabilities, damages, and reasonable expenses arising from:

• Your violation of these Terms
• Your unlawful use of the website
• Your misuse of Dryad Collective products
• Your infringement of another person’s rights

This provision applies only to the extent permitted by applicable law.

17. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Maine, United States, without regard to conflict-of-law principles.

18. Changes to These Terms

Dryad Collective may update these Terms of Service from time to time.

Changes apply to future use of the website and future orders after the updated Terms are posted.

The terms in effect when an order is placed will apply to that order unless otherwise required by law.
